Terms of Service & Acceptable Use Policy

Tumu Forge and Inoternal Solutions provide technical software engineering, digital design, and development services strictly on an independent contractor basis. We do not control, monitor, operate, or assume legal liability for how clients, users, or third parties deploy, utilize, or market the software, websites, tools, or deliverables we build. Clients are solely responsible for ensuring their operations comply with all applicable local, national, and international laws.
1. Legal Entity & Binding Agreement
These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you ("Client", "User", "you") and Inoternal Solutions ("Company", "Tumu Forge", "we", "our", or "us"), governing your access to and use of tumuforge.com, our client portal hubs, APIs, invoices, digital proposals, and custom engineering deliverables.
By submitting an inquiry, paying an invoice, signing an electronic proposal, accessing our client workspace, or using any software or deliverables engineered by us, you explicitly certify that you have read, understood, and agreed to be bound by all provisions of this Agreement.
2. Complete Disclaimer of Responsibility for Client Use & Misuse
2.1 Technical Contractor Role Only
Inoternal Solutions operates exclusively as an independent technology contractor and technical service provider. We design, code, configure, and deliver websites, web applications, CRM workflows, and digital infrastructure based on specifications provided by the Client. We are not partners, fiduciaries, joint venturers, or legal guarantors of the Client's business, products, services, statements, or commercial activities.
2.2 No Liability for Client Operations, Representations, or Content
Under no circumstances shall Inoternal Solutions, Tumu Forge, or its officers, directors, engineers, or affiliates be held responsible or liable for:
- The nature, legality, truthfulness, accuracy, or quality of any goods, services, content, media, or data sold, published, or distributed by the Client through deliverables engineered by us.
- Any deceptive, fraudulent, illegal, or bad-faith schemes conducted by the Client or third parties using software or websites we developed.
- Any transactions, disputes, chargebacks, refunds, or financial losses occurring between the Client and the Client's customers or end-users.
- Any failure by the Client to maintain appropriate business licenses, regulatory permits, privacy disclosures, tax registrations, or consumer protection compliance.
3. Acceptable Use Policy & Strictly Prohibited Conduct
To protect the integrity of our infrastructure and prevent bad-faith actors from exploiting our engineering services, you agree not to use, deploy, or instruct us to build any software or website for any of the following prohibited purposes:
Wire fraud, identity theft, credit card spoofing, deceptive banking pages, credential harvesting, or deceptive financial schemes.
Distributing trojans, spyware, ransomware, botnets, unauthorized scraping tools, or software designed to compromise third-party security.
Unregistered securities, illegal coin offerings, pyramid/multi-level marketing schemes, or non-compliant digital asset lotteries.
Infringing copyrights, trademarks, patents, trade secrets, or selling counterfeit merchandise and pirated software.
Unsolicited bulk email spamming, automated cold robocalling violating TCPA/CAN-SPAM, or unauthorized personal data aggregation.
Hate speech, harassment, terrorist propaganda, human trafficking, child sexual abuse material, or incitement of violence.
4. Immediate Service Termination & Law Enforcement Cooperation
Inoternal Solutions maintains a strict zero-tolerance policy toward bad-faith and unlawful conduct. If we receive credible notice, discover, or reasonably suspect that a Client is utilizing our software, hosting accounts, CRM portals, or deliverables in violation of Section 3:
- We reserve the unilateral right to immediately terminate the engagement, revoke portal access, take down staging or production hosting instances, and cease all engineering without prior notice.
- All prepaid fees, retainer deposits, or milestone disbursements shall be strictly non-refundable and forfeited as liquidated damages for breach of contract.
- We reserve the right to cooperate fully with domestic and international law enforcement agencies, subpoena directives, and cybercrime authorities.
5. Comprehensive Client Indemnification
Mandatory Hold-Harmless Requirement
You agree to defend, indemnify, and hold completely harmless Inoternal Solutions, Tumu Forge, its parent company, subsidiaries, affiliates, successors, directors, officers, employees, independent contractors, and agents from and against any and all claims, demands, liabilities, lawsuits, judgments, damages, losses, civil fines, penalties, settlements, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
- Your use, deployment, modification, or commercial exploitation of any deliverable, software, or service provided by us.
- Any violation by you of this Agreement or our Acceptable Use Policy.
- Any dispute, tort, contract breach, or financial injury between you and any third-party customer, end user, vendor, or contractor.
- Any violation of any third-party intellectual property, privacy, publicity, or statutory consumer rights caused by materials or instructions provided by you.
6. Limitation of Liability & Damages Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INOTERNAL SOLUTIONS OR TUMU FORGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, WORK STOPPAGE, OR COMPUTER FAILURE), REGARDLESS OF LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR NEGLIGENCE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CIRCUMSTANCES, THE MAXIMUM AGGREGATE MONETARY LIABILITY OF INOTERNAL SOLUTIONS ARISING OUT OF OR RELATING TO ANY PROJECT OR INVOICE SHALL BE STRICTLY CAPPED AT THE TOTAL SUM ACTUALLY RECEIVED BY US FROM THE CLIENT UNDER THE SPECIFIC INVOICE IN DISPUTE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
7. Invoicing, Payments & Ownership Transfer
All web development, consulting, and CRM packages are contracted with Inoternal Solutions. Payments processed through our integrated gateways (Stripe, Paystack, NOWPayments) may appear on card or bank statements under the billing descriptor TUMU FORGE or INOTERNAL SOLUTIONS.
Upon full settlement of project invoices, Inoternal Solutions transfers 100% full intellectual property ownership of the custom code, designs, and domain assets to the Client. Starter frameworks, internal tooling libraries, and agency CRM engines remain the proprietary intellectual property of Inoternal Solutions.
8. Affirmative Electronic Consent (Clickwrap Enforceability)
By checking any consent checkbox, submitting a project inquiry form on tumuforge.com, completing a checkout transaction via our payment modal, or executing an electronic signature on a project proposal, you confirm that:
- You have the legal authority to bind yourself or the commercial entity you represent.
- Your digital consent or e-signature constitutes an enforceable electronic contract satisfying statutory requirements under the US ESIGN Act, UETA, and international digital commerce directives.
9. Governing Law, Severability & Official Contact
This Agreement shall be construed and governed in accordance with international commercial law standards. If any provision of these Terms is determined by a competent tribunal to be invalid or unenforceable, that specific provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
